appointed Charles Duane Willard hereinafter mentioned to be the Attorney of the Company and for the purposes and
with the powers and authorities in the said Deed Poll in that behalf mentioned AND whereas the Company
is desirous of revoking the powers and authorities so given to the said Charles Duane Willard as aforesaid and of
appointing in the United States of America an Agent for the purpose of entering into Contracts for the sale of the
said lands or some part or parts thereof or some estate or interest therein so far as and on the terms on which under
and by virtue of the facts and Indentures hereinbefore recited the Company has power to sell the same and also to
join with the Trustees for the time being of the same Indentures in conveying the same pursuant to such Contracts
and for the purposes hereinafter appearing   NOW these presents witness that the Company DOTH
hereby revoke and make void all and singular the powers and authorities by the said hereinbefore recited deed poll
or power of Attorney given to or conferred upon the said Charles Duane Willard PROVIDED always that
the revocation hereinbefore contained shall not prejudice or affect anything lawfully done or caused to be done by
the said Charles Duane Willard in the exercise or intended exercise of any of such powers or authorities as aforesaid in
the interval between such revocation and the time of the same becoming known to him or to his substitute or
substitutes  And the Company doth hereby ratify and confirm everything lawfully done or caused to be done by the
said Charles Duane Willard or any substitute or substitutes acting under him in the exercise or intended exercise of
any of such powers or authorities including anything so done or caused to be done in such interval as aforesaid
AND these presents further witness that the Florida Land and Mortgage Company Limited doth
hereby nominate constitute and appoint Charles Duane Willard of Jacksonville Florida in the United States of
America aforesaid the Attorney of the Company for and in the name and on behalf of the Company from time to
time and as and when occasion shall require or the said Attorney deem expedient to enter into such Contracts for the
sale of the said lands or any part or parts thereof or any estate or interest therein so far as and on the terms
on which under and by virtue of the facts and Indentures hereinbefore recited the Company has power to sell the
same but so that no sale shall be made to any one purchased or joint purchasers whether made at one or different
times exceeding in the aggregate five thousand acres without the express authority of the Company in writing under
its Common Seal and the hands of its Secretary and at least two of its Directors the intention being that no single
purchaser or joint purchasers shall hold more than five thousand acres   And also to ask demand sue for recover and
receive and give effectual receipts and discharges for the moneys or securities which may be payable or due to the
Company in respect of any such sale  And on or after payment or delivery of the whole of the money or securities
then due in respect of the sale in question from time to time and as and when occasion shall require or the said
Attorney deem expedient to join with the trustees for the time being of the same Indentures in conveying the same
lands or any part or parts thereof or any estate or interest therein pursuant to such Contracts  And also to realize
and enforce and obtain the full benefit and advantage of all or any of such securities aforesaid   And for the purposes
aforesaid or any of them to enter into such negotiations and to enter into sign seal execute and deliver such documents
contracts and acts and do such things as the said Attorney may consider necessary or expedient   And to appear
before Notaries Courts of Justice and other public bodies and officers for and on behalf of the Company as occasion
may require or the said Attorney may think expedient   And  generally for the Company and in its name or other-
wise to do everything requisite or convenient for all or any of the purposes aforesaid PROVIDED always and
it is hereby declared that except so far as such authority is incident to the powers and authorities hereinbefore
contained or any of them these presents shall not nor shall anything herein contained empower or authorize to be
deemed to empower or authorize the said Attorney for or in the name of the Company or otherwise and on its behalf
to draw make accept or endorse discount or retire Cheques Bills of Exchange Promissory Notes Bills of Lading or other
negotiable instruments or to pledge mortgage charge or hypothecate or obtain property money services rights goods
or things upon the security of the property or rights for the time being of the Company or any part thereof or to
pledge the credit of the Company without the express authority of the Company in writing under its Common Seal
and the hands of its Secretary and at least two of its Directors for the time being previously given to the said
Attorney in respect of the specific act or transaction proposed by him to be done or transacted   AND the Company
hereby ratifies confirms and allows and Covenants for itself and its successors to ratify confirm and allow whatsoever
the said Attorney shall do or cause to be done or purport to do or cause to be done in or about the premises by virture
of these presents   IN WITNESS whereof the Florida Land and Mortgage Company Limited bath hereunto
caused its Common Seal to be affixed the twenty second day of December one thousand eight hundred and eighty
four  
      The Common Seal of the Florida Land and Mortgage Company Limited was affixed in the presence of
