conditioned for the faithful perform-
ance of the trusts herein imposed.
  In the event of the death of my said
wife, Carrie C. Woolley, before my
decease, I will and direct that this trust
shall not become operative and that the
bequests and devises made in respect
thereto shall lapse; and in that event,
I give, bequeath and devise all of the said
rest, residue and remainder of my estate
unto my son, Victor B. Woolley, and unto
his heirs and assigns, or in further
event that my said son shall like-
wise be deceased, I give bequeath and
devise the said rest and residue and remaind-
er of my estate unto the heirs at law
of my said son Victor B. Woolley, and
unto their heirs and assigns
  In Furtherance and Not In Limitation of
the objects and purposes of this trust and of the
general powers and duties conferred and
imposed by law upon trustees, I direct
that:-
  (a) Whenever in the sound discretion of
the said Trustee, it shall be deemed to
be for the interest and benefit of the estate
hereby bequeathed and devised in trust,
that a sale of the whole or any part
of my real estate should be made, the
said Trustee shall sell either at publick
or private sale, upon such Terms as to
cash and credit as he may deem proper,
and by good and sufficient deeds convey
the said real estate, or any part
thereof, to the parties who may become
