the same either at Public or private sale as in his
      judgment may appear just and most for the interest of the
      creditors and convert the same into money and shall also
      collect all and singular the said debts Bills Bonds notes
      accounts Choses in action Claims and demands or so much
      thereof as may prove collectable and thereupon execute
      acknowledge and deliver good and sufficient Deed (Bills) of
      sale releases and all other instruments that may be
      necessary to effect a sale and transfer of any and all the said
      property hereby assigned and intended so to be and with
      and out of the proceeds of such sales and collections the
      said party of the second part shall shall first pay and
      discharge all the just and reasonable costs charges
      commissions of making executing and conveying into
      effect this assignment and the trust hereby created
      and shall also pay the rents and taxes any insurance now
      due and to grow due from and upon the premises at present
      occupied by the said party of the first part being the
      second and third floors of the building known and
      described as No 35 Courtland Street in the City of New York
      as long as it my be necessary to retain and use said prem-
      -ises for the sole storage and safe keeping of the said
      assigned property and with and out of the residue on net
      proceeds and avails of such sales and collections the said
      party of the second part shall pay and discharge the
      debts of the said party of the first part in the order and
      manner following that is to say
First The said party of the second part shall pay and
      discharge in full the second and respected debts, notes
      and sums of money due and to grow due on the said
      party of the first part mentioned and described in
      the schedule hereunto annexed marked schedule "B"
      and designated in said schedule as class number one
      in the order therein stated together with the interest
      due and to grow due thereon and if said net proceeds
      are not sufficient to pay and to discharge all the

      in full then the same shall be paid in full in the
      order stated in said schedule that is to say 1st The
      amount therein stated due and owing to Johnathan S.
      Christie 2nd the amount therein stated due and owing
      to the firm of J.B. B*** & Co 3rd the amount therein
      stated due and owing to the Tradesmans Bank of the
      City of New York 4th the amount therein stated
      due and owing to Joseph Daurence 5th the amount stated
      therein due and owing George S. Moulton 6th the amount
      stated therein due and owing to Jno A. Shepardson
Secondly with and out of the residue and remainder of the said
      net proceeds if any shall remain after the payment
      in full of the said debts and liabilities mentioned
